Sponsor and Administrator

The sponsor of the Promotion is Saladworks, Inc., (“Sponsor”). The administrator of the Promotion is Traffic Marketing, LLC, 417 N. 8th Street, Philadelphia, PA 19123 (the “Administrator”).

Eligibility.

Saladworks®: “Flavor your World Recipe Challenge” (the “Promotion”) is open only to legal residents at least eighteen (18) years of age of the states where Saladworks has store locations: Alabama, Arkansas, California, Colorado, Delaware, Georgia, Indiana, Kentucky, Maryland, Massachusetts, Minnesota, Nevada, New Jersey, New York, North Carolina, Ohio, Pennsylvania, Rhode Island, Tennessee, Texas, Virginia and West Virginia, except where prohibited or void (“Entrant(s)”). Employees of Saladworks, Inc., Traffic Marketing, LLC (doing business as Think Traffic), Fishman Public Relations and any of their direct or indirect parent and affiliate companies, as well as the immediate family and household members of each such employee are not eligible. By participating in the Promotion and/or accepting any Prize, each Entrant agrees to be bound by these Official Rules (“Official Rules”) and the decisions of the Sponsor, which are final and binding on all matters relating to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Promotional Period

The Promotion begins on June 14, 2021 at 11:00 a.m. Eastern Time and ends on July 9, 2021 at 11:59 p.m. Eastern Time (the “Promotional Period”). The Administrator’s (as defined below) computer will be the official time-keeping device for this Promotion.

Prizes

There is one single Grand Prize winner. The Grand Prize will receive a $5,000 American Express® Travelers Cheque, their recipe featured on the Saladworks menu as a limited time offer and a Saladworks Swag Bag containing a Saladworks cutting board, knife, water bottle and apron, (“Grand Prize”). ONE (1) Grand Prize will be awarded in connection with the Promotion. Our second-place winner will receive a $1,000 American Express® Travelers Cheque, a total of 52 Saladworks regular salads, one salad per week during a calendar year and a Saladworks Swag Bag containing a Saladworks cutting board, knife, water bottle and apron. ONE (1) second-place winner will be awarded in connection with the Promotion. Our third-place winner will receive a $500 American Express® Travelers Cheque, a total of 5 Saladworks regular salads, one salad per week and a Saladworks Swag Bag containing a Saladworks cutting board, knife, water bottle and apron. ONE (1) third-place winner will be awarded in connection with the Promotion. Our fourth-place winner will receive a $100 American Express® Travelers Cheque, one (1) Saladworks regular salad and a Saladworks Swag Bag containing a Saladworks cutting board, knife, water bottle and apron. ONE (1) fourth-place winner will be awarded in connection with the Promotion.

How to Enter

The Promotion offers Entrant one (1) way to enter: Entrants may visit saladworks.com/FYWrecipechallenge and follow the on-screen instructions to create an entrée by choosing ingredients from the ingredients displayed on screen. You will be required to submit the following:

• Recipe creation
• Name of recipe
• Recipe ingredients
• Name
• Email address
• Phone number

Entrants must fill out all relevant and required information displayed on the website and click Submit in order for the entry to be valid.

Limit

Each Entrant is limited to only one (1) entry per email address per day. 25 Saladworks bonus rewards points will be added for the first entry only. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected registrations, which will be void. In the event of a dispute as to any registration or play, the authorized account holder of the Rewards Mobile App account or email address used to register will be deemed to be the Entrant. The “authorized account holder” is the natural person assigned an email address by an internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

Selection of Winners

A panel of judges will review all of the entries received during the Promotional Period and will select four (4) entries based on originality, flavor, seasonality and brand fit and other elements in the panel’s sole discretion. In the event two or more Entrants choose the same list of ingredients, one Entrant will be selected at random and that person will be eligible for the Grand Prize with respect to that specific recipe entry. The four (4) finalists will be announced on or before July 14, 2021 via Saladworks Rewards email and various social media outlets.

Winners will be selected by a panel of judges, Saladworks team members and Saladworks Rewards members. Each recipe will be judged on a scale of 1 to 10 based in selected criteria. The judges panel will account for 25% of total score, Saladworks Rewards Members 24% of total score and Saladworks Team Members 51% of total score.

Prize winners will be announced on July 27, 2021 at 3:00 pm. Eastern Time.

Verification of Winners

The Potential Winners will receive specific redemption instructions via email or through the Rewards Mobile App and must redeem the Prize pursuant to the instructions on or before August 24, 2021. Prizes are non-transferable and have no cash equivalent unless required for by law. Sponsor reserves the right to substitute a Prize for one of equal to or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with Prize receipt and/or use. The Prize winner will receive an annual IRS Form 1099 for each tax year where the total value of the prize redeemed is equal to $600.00 or more. Odds of winning the Prize will depend on the number of Entrants that entered to win.

All potential winners are subject to verification before any Prize will be awarded. Receiving a Prize is contingent upon compliance with these Official Rules. Each potential winner will be sent an email to the email address associated with the Entrant and required to sign and return a Declaration of Compliance, Liability Waiver and where not prohibited a Publicity Release (“Verification Documents”) and an IRS Form W-9 which must be received by Administrator, within three (3) days of the date notice or attempted notice is sent, in order to claim the Prize. If a potential winner of any Prize cannot be contacted, or fails to sign and return the Verification Documents, tax forms or any other requested information within the required time period, the potential winner forfeits the Prize.

Unclaimed Prize winners will not be awarded. In the event that a potential Prize winner is disqualified for any reason or is not awarded during the Promotional Period, Sponsor will award the applicable Prize to an alternate winner by random drawing among all eligible Entrants.

The Winner will be posted after winner confirmation is complete.

General Rules

The Promotion is governed by and subject to the laws of the United States. All applicable federal, state and local laws and regulations apply. This Promotion is void where prohibited by law. Neither Sponsor nor Administrator is responsible for any typographical or other errors in the printing of the offer, administration of the Promotion, or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal entries.

Sponsor reserves the right at its sole discretion to disqualify the Entry of any individual found to be: (a) tampering or attempting to tamper with the entry process or the operation of the Promotion or any Sponsor website; (b) violating the Official Rules; or (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor property or service.

Caution: Any attempt by an Entrant or any other individual to deliberately damage any website or undermine the legitimate operation of the Promotion may be a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

Release

Any Prize winner agrees to release and hold harmless Sponsor, Administrator and each of their respective direct or indirect parents, subsidiaries, affiliates, related entities, suppliers, distributors, advertising/promotion agencies and each such entity’s officers, directors, members, employees, contractors, and agents from and against any and all losses, liability, illness, injury, claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt, possession, use or misuse of any prize.

Publicity; Privacy Policy

Except where prohibited, participation in the Promotion constitutes entrant’s consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes worldwide, in perpetuity, in any and all media, manner, and formats now known or hereafter devised, without further payment or consideration.

Limitation of Liability

Sponsor assumes no responsibility for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the Promotion including, without limitation, any error, omission, interruption, deletion, defect, delay in operation of transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing. If, for any reason, the Promotion is not capable of running as planned including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and select winners from among that portion of the Promotion that has not been compromised, if any. Sponsor reserves the right to cancel this Promotion at any time without obligation or prior notice.

Disputes; Governing Law

Except where prohibited, as a condition of participating in this Promotion, Entrants agree that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Promotion, any prize awarded, or the determination of Winners shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Entrant’s actual out-of-pocket expenses (e.g. costs, which does not include the value of time spent, associated with entering this Promotion), and Entrant further waives all rights to have damages multiplied or increased.

All issues and questions regarding rights and obligations of Entrants in connection with this Promotion shall be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania, without giving effect to the conflict of laws and rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in Philadelphia County, Pennsylvania.

The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Promotion. Any controversy or claim arising out of or relating to these Official Rules and/or this Promotion shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the Commonwealth of Pennsylvania and judgment on the arbitration award may be entered into any court located in Philadelphia County, Pennsylvania, having jurisdiction thereof.
